Skelmersdale Rambling Club


The name of the club shall be the SKELMERSDALE RAMBLING CLUB, otherwise known as the Skelmersdale Ramblers. Skelmersdale Rambling Club will be affiliated to the Ramblers Association.
  1. To actively encourage the pursuit of rambling in Skelmersdale and the surrounding area.
  2. To organise rambles, both locally and in other areas.
  3. To provide opportunities to socialise with others.
  4. To work co-operatively with other rambling organisations and footpath groups towards preserving and creating rights of way.
  1. Membership of the Skelmersdale Ramblers shall be open to persons of any age, but special rules apply to persons under 16 years of age.
  2. Acceptance of any adult's application for membership shall be at the discretion of the committee.
  3. Each adult member of the club aged 16 or over is required to pay an annual subscription for individual membership, the amount to be determined by the elected committee and approved at the Annual General Meeting.
  4. An adult member may be accompanied by a maximum of two persons under the age of 16 years on walks and at meetings, but must take full responsibility for them and observe the club's rules regarding the safety of children. Such young persons will be deemed members of the club.
  5. When rambling with the club, all members are required to abide by the club's rules, respect the countryside code and each other, and behave in a responsible way.
  6. Members who break the club rules may be asked to leave by the club.
  7. The committee can (at their discretion) offer honorary membership at no cost.
  1. The club shall be managed by an elected committee of members consisting of a Chairperson, a Secretary, a Treasurer, and up to twelve other elected members. Some of these members will be elected to fulfil specific roles in the organisation of the affairs of the club (e.g. Walks Co-ordinator, Coach Bookings Secretary).
  2. The Committee shall be elected at an Annual General Meeting.
  3. Each committee member must stand for re-election at every Annual General Meeting.
  4. The Chairperson can only be elected on three consecutive occasions.
  5. If the post of any committee member should fall vacant between one Annual General Meeting and the next, the committee will have the power to elect a replacement until the next Annual General Meeting.
  1. The Treasurer will keep a proper record of money received and paid out and will, if requested, submit the record to the inspection of the committee at meetings. The Treasurer will prepare an Annual Report to be distributed before the Annual General Meeting.
  2. Funds shall be banked in the name of the SKELMERSDALE RAMBLING CLUB. All cheques drawn on the club must be signed by two approved signatories, both of whom shall be committee members.
  1. The Annual General Meeting shall take place each June or adjoining month. All club members will be invited to the meeting and will have a right to vote. For the purpose of the Annual General Meeting a quorum will be ten.
  2. The routine business of the Annual General Meeting shall be:
    1. Minutes of the previous Annual General Meeting and matters arising.
    2. Presentation of Annual Reports, including the Treasurer's Statement.
    3. Election of Chairperson, Secretary, Treasurer, and up to twelve other committee members.
    4. Agree the date of the next Annual General Meeting.
  3. Formal written notice of the meeting shall be sent to each member at least twenty one days before the date of the meeting, and shall invite members to submit resolutions to the Secretary at least 10 days before the date of the meeting. Reminders as appropriate shall be published in the April and May coach notes.
  4. Written notice wherever required in this constitution may be sent by any of the following methods:
    1. delivered by hand,
    2. by post to the member's last notified address,
    3. by email to the member's last notified address.
The committee shall meet at least three times a year to determine the day to day business of the club. The quorum for all committee meetings shall be five. All committee members must be given at least seven days notice of the committee meeting but this notice does not have to be in writing. In an emergency the Chairperson (or the Secretary if the Chairperson is not available), in consultation with at least 4 other members (one of whom will normally be the Treasurer) shall be empowered to determine the day to day running of the club, but any decision made will only stand if it is ratified at the next committee meeting.
Changes to the constitution can be made at an Annual General Meeting. Members wishing to propose amendments to the constitution must let the Chairperson or Secretary have a copy of the resolution three months before the date of the General Meeting.
A resolution to dissolve the club can only be passed at a General Meeting. In the event of dissolution, all debts should be cleared with any club funds and the disposal of any remaining club funds should be determined at the General Meeting.
  1. An Extra-Ordinary General Meeting can be called by the committee or by a minimum of ten members giving written notice to the Secretary.
  2. Twenty-one days written notice of the meeting with details of the business to be discussed must be given to all members.
  3. The quorum for an Extra-Ordinary General Meeting shall be ten.
Skelmersdale Rambling Club hereby adopts and accepts this constitution at the AGM 2015.
